Important summary
Use the Service lawfully, protect your account, provide accurate information, review assisted output, and respect other people’s data and rights. Blackhole will provide the Service with legally required care and will not remove rights that applicable law gives you.
Agreement to these Terms
These Terms of Service (“Terms”) form an agreement between you and Blackhole Copilot Inc (“Blackhole”, “we”, “us”, or “our”) governing access to and use of the Blackhole JMS website, accounts, workspaces, software, and related services (together, the “Service”).
By accessing or using the Service, you agree to these Terms and acknowledge our Privacy Policy. If you use the Service for an organisation, you confirm that you have authority to bind that organisation, and “you” includes both you and the organisation where the context requires.
If you do not agree to these Terms, do not access or use the Service. Additional written terms may apply to a paid plan, organisation workspace, integration, beta feature, or other specific service. If those terms conflict with these Terms, the more specific terms govern that service.
Eligibility and accounts
You must be legally capable of entering into a binding agreement and meet any minimum age required in your country. Blackhole JMS is not directed to children under 16.
You must provide accurate account information, keep it reasonably current, protect your credentials and devices, and notify us or your workspace administrator promptly if you suspect unauthorised access. You are responsible for activity conducted through your account unless applicable law provides otherwise.
Accounts are personal unless an organisation has expressly created a shared or service account. You must not sell, transfer, impersonate another person through, or permit unauthorised use of your account.
Organisation workspaces and roles
An organisation may invite you to a managed workspace and assign administrators, members, workers, support professionals, or other roles. Those roles can have different permissions to view and manage profiles, applications, communications, operational records, and workspace settings.
The organisation controls its workspace membership and is responsible for authorising its users, giving required notices, setting appropriate permissions, and using personal data lawfully. Your access to organisation-controlled data may end when the organisation changes your role, removes your account, or ends its service relationship.
If you are a workspace administrator, you must grant only the access reasonably needed for each role and must not ask users to share passwords or add information that the organisation has no right to process.
What the Service provides
Blackhole JMS provides tools for organising career profiles, jobs, applications, communications, interviews, operational activity, progress information, and career-planning context. Available features can vary by account, workspace, configuration, integration, region, or stage of product development.
The Service is a workflow and decision-support tool. It is not an employer, recruiter, employment agency, financial institution, legal adviser, immigration adviser, therapist, or regulated career adviser. Blackhole does not control employers, job listings, interviewers, hiring decisions, communications sent by third parties, or the accuracy of third-party information.
We do not guarantee interviews, employment, compensation, career advancement, application success, uninterrupted communications, or any other professional outcome. You remain responsible for evaluating opportunities and deciding what information, applications, messages, and career actions are appropriate for you.
AI-assisted features
Some features may use artificial intelligence or automated methods to classify information, organise messages, identify patterns, suggest drafts, summarise materials, or support interview and roadmap reflection. AI-generated output can be incomplete, inaccurate, outdated, biased, or unsuitable for your circumstances.
You must review and verify assisted output before relying on or sharing it. Do not use the Service to fabricate qualifications, experience, identities, references, interview attendance, work authorisation, or other material facts. Do not submit confidential third-party information or unnecessary sensitive information to an assisted feature.
Blackhole JMS is not designed to make solely automated decisions with legal or similarly significant effects for candidates. The person or organisation making a career, employment, or hiring decision remains responsible for that decision and for complying with applicable law.
Acceptable use
You may use the Service only for lawful purposes and in accordance with these Terms. You must not misuse the Service, interfere with other users, or attempt to bypass safeguards.
- Access another person’s account, workspace, data, or credentials without permission.
- Upload malware, exploit vulnerabilities, probe systems without written authorisation, disrupt availability, or evade technical limits.
- Scrape, crawl, or use automated access in a way that violates applicable law, third-party terms, published technical controls, or reasonable rate limits.
- Use the Service for fraud, deception, harassment, discrimination, unlawful surveillance, spam, identity theft, or infringement of intellectual-property, privacy, employment, or other rights.
- Misrepresent an application, candidate, role, employer, interview, payment, confirmation, or communication, or manipulate fraud and integrity controls.
- Reverse engineer or attempt to extract source code except to the limited extent that applicable law expressly permits and cannot be excluded by agreement.
- Resell, sublicense, or commercially exploit the Service unless a written agreement with Blackhole expressly permits it.
Your content and responsibilities
You retain ownership of content you submit to the Service, such as profile information, résumés, application records, notes, messages, and files (“Your Content”). You give Blackhole a limited, worldwide, non-exclusive licence to host, copy, transmit, display, format, and otherwise process Your Content only as needed to operate, secure, support, and improve the Service and fulfil our legal obligations.
You confirm that you have the rights and permissions needed to provide Your Content and direct us to process it. You are responsible for its accuracy, legality, and appropriateness and for keeping independent copies of information you cannot afford to lose.
Do not upload secrets, passwords, government identification, financial-account details, health information, or other sensitive material unless a feature specifically requests it and you have determined that providing it is necessary and lawful.
Blackhole technology and intellectual property
The Service, including its software, interface, design, branding, documentation, and underlying technology, is owned by Blackhole or its licensors and is protected by intellectual-property and other laws. Except for the limited right to use the Service under these Terms, no rights are transferred to you.
Subject to these Terms, Blackhole gives you a personal, limited, revocable, non-exclusive, non-transferable right to access and use the Service for its intended purpose. Feedback you voluntarily provide may be used to improve Blackhole products without restriction or payment, but we will not publicly identify you as its source without permission.
Third-party services and content
The Service may interact with job boards, employer websites, email providers, storage providers, AI services, browser extensions, or other third parties. Third-party services are governed by their own terms and privacy policies, and their availability or conduct is outside Blackhole’s control.
You are responsible for complying with third-party terms and reviewing permissions before connecting an integration. We may limit or disable an integration when necessary for security, compliance, compatibility, or because the third party changes or ends access.
Fees, plans, and payment terms
If a paid plan is offered, its price, billing period, included features, renewal terms, taxes, cancellation method, and any trial or refund rights will be presented before purchase or set out in an organisation agreement. Blackhole will not impose an undisclosed charge or convert a free service into a paid subscription without the notice and agreement required by law.
An organisation may pay for access on behalf of its users. If the organisation stops paying or its agreement ends, affected users may lose access to organisation-controlled features or data. Nothing in these Terms limits mandatory cancellation, cooling-off, refund, repair, replacement, or price-reduction rights available under applicable consumer law.
Privacy and data protection
Our Privacy Policy explains the personal data we collect, how it is used and protected, when it may be shared, how long it may be retained, and the rights available to individuals. It forms an important part of your relationship with the Service.
If you use the Service to process personal data about another person, you must do so lawfully, transparently, and only for a legitimate and authorised purpose. Workspace organisations may have additional controller or processor obligations under applicable data-protection law.
Service availability and changes
We work to keep the Service secure and available, but online services can experience maintenance, delay, interruption, data-provider failures, compatibility issues, or events outside reasonable control. We do not promise that every feature will always be available, error-free, or suitable for every device or workflow.
We may add, improve, replace, limit, or discontinue features for legitimate product, security, legal, or operational reasons. Where a change materially reduces a paid service, we will provide reasonable notice and any remedy required by the applicable agreement or law.
Preview, beta, experimental, and roadmap features may change or end and should not be relied upon for critical deadlines or as the sole copy of important information.
Suspension and termination
You may stop using the Service at any time. Account closure and data-handling options depend on your role, workspace controls, legal retention requirements, and any applicable organisation agreement.
We may restrict or suspend access when reasonably necessary to investigate security or abuse, protect users or the Service, comply with law, prevent material harm, address non-payment, or respond to a serious or repeated breach of these Terms. Where appropriate, we will explain the reason and provide a reasonable opportunity to resolve the issue.
We may terminate access for a material breach that is not remedied, for unlawful or dangerous conduct, when required by law, or when the relevant service or organisation agreement ends. Provisions that by their nature should continue-including ownership, payment obligations, disclaimers, liability terms, and dispute provisions-survive termination.
Service standards and disclaimers
We will provide the Service with the level of care and skill required by applicable law and will honour any express commitments in a paid plan or organisation agreement. Your statutory rights are not excluded or reduced by these Terms.
Subject to those rights and express commitments, the Service is provided on an “as available” basis. We do not warrant that third-party job information, AI-assisted output, integrations, communications, analytics, or career recommendations will be complete, current, accurate, or produce a particular result.
Nothing in these Terms excludes a warranty or remedy that cannot lawfully be excluded. If digital content or a service does not conform to a mandatory legal standard, you may be entitled to repair, replacement, repeat performance, a price reduction, refund, or another statutory remedy depending on your location.
Responsibility when things go wrong
Nothing in these Terms excludes or limits liability where doing so would be unlawful, including liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation, or breach of mandatory consumer rights.
Blackhole is responsible for loss or damage that is a foreseeable result of our breach of these Terms or failure to use legally required care and skill. We are not responsible for loss caused by information or instructions you provide, unauthorised use you could reasonably have prevented, independent third parties, or events outside our reasonable control, except where applicable law provides otherwise.
If you use the Service primarily for business purposes, neither party will be liable for indirect or consequential loss, lost profit, lost revenue, lost opportunity, or loss of goodwill except where a separate written agreement states otherwise. Any business liability cap must be stated in the applicable order or organisation agreement; these Terms do not impose an undisclosed consumer liability cap.
Questions, complaints, and disputes
Please contact us first if you have a concern so we can understand the issue and try to resolve it. Nothing in these Terms requires a consumer to use private arbitration or prevents a person from contacting a regulator, using an available alternative dispute-resolution service, or bringing a claim in a court that applicable law allows.
The governing law and courts depend on your location, whether you use the Service as a consumer or business, and any organisation agreement. Mandatory protections and local rights available to consumers remain unaffected.
Changes to these Terms
We may update these Terms to reflect changes in the Service, law, security requirements, or business operations. The “Last updated” date identifies the current version.
If a change materially affects your rights or obligations, we will provide reasonable advance notice through the Service, account communication, or another appropriate channel where required. Changes will apply prospectively. If you do not agree to a material change, you may stop using the Service before it takes effect, subject to any separate organisation agreement.
General terms
If a court or competent authority finds part of these Terms unenforceable, the remaining provisions continue to apply. A delay in enforcing a right does not waive that right. You may not transfer your agreement without our consent, except where applicable law gives you that right. We may transfer it as part of a reorganisation, financing, merger, acquisition, or sale, provided your rights are not materially reduced.
These Terms, the Privacy Policy, and any applicable order, plan description, or organisation agreement form the agreement concerning the Service. They do not create employment, partnership, agency, fiduciary, or joint-venture relationships between you and Blackhole.
Contact
For questions about these Terms, use the Blackhole contact page or the support channel provided within your organisation’s workspace or service agreement. Include enough information to identify the account or service involved, but never send a password or unnecessary sensitive information.
